1. Acceptance of terms
By accessing or using the Services, downloading our apps, or clicking to accept these terms, you agree to be bound by these Terms & Conditions and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Services.
2. Definitions
- "Company", "we", "us", "our" means IBAMAA PRIVATE LIMITED, the owner and operator of Japaate.
- "Customer" means the organization that subscribes to the Services.
- "User" means any individual authorized to use the Services, including salesmen, retailers, managers, and administrators.
- "Customer Data" means the data submitted to or generated through the Services by the Customer and its Users.
3. Eligibility & accounts
You must be at least 18 years old and capable of forming a binding contract to use the Services. Accounts are typically provisioned by your organization's administrator. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use. We may refuse, suspend, or terminate accounts at our discretion in line with these terms.
4. License to use
Subject to these terms and any applicable subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the term of your subscription. All rights not expressly granted are reserved by us.
5. Acceptable use
You agree not to:
- Use the Services for any unlawful, fraudulent, or unauthorized purpose.
- Copy, modify, reverse-engineer, decompile, or create derivative works of the Services.
- Resell, sublicense, or provide the Services to third parties except as permitted.
- Upload viruses, malicious code, or content that infringes the rights of others.
- Attempt to gain unauthorized access to the Services, other accounts, or our systems.
- Interfere with or disrupt the integrity, security, or performance of the Services.
- Falsify location, attendance, orders, or any other data submitted through the Services.
6. Customer data & content
As between you and us, you retain all rights to your Customer Data. You grant us a license to host, process, and use Customer Data solely to provide and improve the Services and as described in our Privacy Policy. You are responsible for the accuracy, legality, and quality of Customer Data and for ensuring you have the necessary rights and consents to provide it. You may export your data and may request deletion as described in our Privacy Policy.
7. Subscriptions, fees & payment
Access to certain features requires a paid subscription. Fees, billing cycles, and the scope of your subscription are set out in your order form or agreement with us. Unless stated otherwise, fees are exclusive of applicable taxes (including GST), are non-refundable except as required by law, and are due as invoiced. We may revise pricing on renewal with prior notice. Failure to pay may result in suspension of the Services.
8. Third-party services & integrations
The Services may integrate with third-party products such as ERP and accounting systems, payment gateways, and messaging providers. Your use of those services is governed by their own terms, and we are not responsible for them. App store distribution (e.g. Google Play and the Apple App Store) is also subject to the respective platform's terms.
9. Intellectual property
The Services, including all software, designs, text, graphics, logos, trademarks, and underlying technology, are owned by or licensed to IBAMAA PRIVATE LIMITED and are protected by intellectual property laws. "Japaate" and associated logos are our trademarks. Nothing in these terms transfers any ownership of the Services to you. Any feedback you provide may be used by us without restriction or obligation to you.
10. Service availability & support
We strive to keep the Services available and reliable, including offline-first functionality that syncs when connectivity is restored. However, the Services may occasionally be unavailable due to maintenance, updates, or factors beyond our control. We may modify, suspend, or discontinue features at any time. Support is provided per your subscription agreement.
11. Disclaimer of warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
12. Limitation of liability
To the maximum extent permitted by law, IBAMAA PRIVATE LIMITED and its officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services. Our total aggregate liability for any claim shall not exceed the amount paid by you to us for the Services during the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless IBAMAA PRIVATE LIMITED and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your Customer Data, or your breach of these terms or applicable law.
14. Suspension & termination
We may suspend or terminate your access to the Services if you breach these terms, fail to pay fees, or use the Services in a way that risks harm to us or others. You may stop using the Services at any time and request account deletion as described in our Privacy Policy. Upon termination, your right to use the Services ends; provisions that by their nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive.
15. Governing law & dispute resolution
These terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to applicable law, the courts at Daman, India shall have exclusive jurisdiction over any disputes arising out of or relating to these terms or the Services. The parties will first attempt to resolve disputes amicably through good-faith negotiation.
16. Changes to these terms
We may update these Terms & Conditions from time to time. We will post the updated version on this page and revise the "Last updated" date. Material changes will be communicated through the Services or by email. Your continued use of the Services after changes take effect constitutes acceptance of the updated terms.
